SQL Studio Gateway · Negozio online
Condizioni di vendita e di licenza
Ultimo aggiornamento: 23 ottobre 2026 · Versione 2026-10-23
- "Consumatore" è la persona fisica che agisce per scopi estranei all'attività imprenditoriale, commerciale, artigianale o professionale eventualmente svolta (art. 3 del D.Lgs. 6 settembre 2005, n. 206, "Codice del Consumo");
- "Cliente business" è qualsiasi cliente diverso dal Consumatore (imprese, professionisti, enti e pubbliche amministrazioni);
1. Venditore
Il venditore e licenziante è IT Service, Via Nazionale 120, 90045 Cinisi (PA), Italia, P.IVA IT06176100821 (il "Venditore").
Contatti: email support@geolox.it; modulo di assistenza.
2. Oggetto e licenza d'uso
- decompilare, disassemblare o sottoporre il Software a reverse engineering, salvo nei limiti in cui ciò sia espressamente consentito da norme di legge inderogabili;
- eludere, disattivare o alterare la verifica della licenza o altre misure tecniche di protezione del Software;
- concedere il Software in sublicenza, noleggio o locazione, né cedere la licenza a terzi;
- comunicare o condividere la chiave di licenza con terzi;
- usare il Software su un numero di installazioni superiore a quello concesso;
- aumentare gli utenti aggiuntivi: i nuovi utenti valgono subito e il Cliente paga subito l'importo proporzionale alla parte dell'anno in corso che resta;
- ridurli: la riduzione vale subito e l'importo proporzionale non goduto è accreditato sui pagamenti successivi dell'abbonamento;
L'assistenza è fornita via email all'indirizzo support@geolox.it o tramite il modulo di assistenza.
- rimborso integrale del prezzo;
- storno del pagamento (chargeback) o pagamento non andato a buon fine;
- uso del Software su un numero di installazioni superiore a quello concesso, elusione del limite di utenti, o condivisione della chiave con terzi;
- altra violazione delle condizioni di licenza previste dalla clausola 2;
- frode, compreso l'uso fraudolento di strumenti di pagamento;
SQL Studio Gateway · Online store
Terms of Sale and License
Last updated: October 23, 2026 · Version 2026-10-23
These Terms of Sale and License (the "Terms") govern the purchase, through the SQL Studio Gateway online store (the "Store"), of licenses to use the SQL Studio Gateway software and of extra users, and the use of that software. They apply both to consumer customers and to customers acting for purposes related to their trade, business, craft or profession, with the differences stated in the individual clauses.
For the purposes of these Terms:
- "Consumer" means a natural person acting for purposes outside any trade, business, craft or profession they may carry on (art. 3 of Italian Legislative Decree no. 206 of 6 September 2005, the "Consumer Code");
- "Business Customer" means any customer who is not a Consumer (companies, professionals, organizations and public administrations);
- "Customer" means the purchaser of the license, whether a Consumer or a Business Customer. The Customer states its type in the order form.
These Terms are written in Italian and English. In case of any discrepancy between the two versions, the Italian version prevails. An order is governed by the version of the Terms in force when the order is placed, identified by the version number shown above; the Customer can save and print it.
1. Seller
The seller and licensor is IT Service, Via Nazionale 120, 90045 Cinisi (PA), Italy, VAT number IT06176100821 (the "Seller").
Contact: email support@geolox.it; support form.
2. Subject and license
2.1 The Software
The subject of the contract is a license to use the SQL Studio Gateway software (the "Software"), a server component that the Customer installs and runs on its own servers, on Windows or Linux or in a Docker container. The Software is supplied in digital form only, without any tangible medium. Its features, technical requirements and installation instructions are described in the Guide.
2.2 License
Upon payment of the price, the Seller grants the Customer a perpetual, non-exclusive, non-transferable license to use the Software, valid for one server, that is a single gateway installation, for each license purchased. An "installation" is an instance of the gateway, identified by an installation id kept in its data directory. Using the Software on more servers requires one license per server.
Each license includes 5 gateway users. A "user" is a sign-in account of the gateway; accounts are personal and each may be used by one person only. The Customer can increase the number of users by buying extra users under clause 3.2.
The license is perpetual: it does not expire and requires no renewals or recurring fees, without prejudice to clause 9. Only extra users, if purchased, are renewed yearly (clause 3.2).
2.3 SQL Studio apps
The SQL Studio apps for Mac, iPhone and iPad, which users use to connect to the gateway, are not the subject of this contract: they are distributed separately and free of charge on the App Store, under Apple's terms and their own terms of use.
2.4 Prohibited uses
The Customer may not:
- decompile, disassemble or reverse engineer the Software, except to the extent expressly permitted by mandatory provisions of law;
- circumvent, disable or tamper with the license check or any other technical protection measure of the Software;
- sublicense, rent or lease the Software, or assign the license to third parties;
- disclose or share the license key with third parties;
- use the Software on more installations than licensed;
- use the Software with more users than allowed, or share the same account among several people to get around that limit.
2.5 Installation and operation
The Software runs on the Customer's servers and is not a service operated by the Seller: the Seller does not host or operate the Customer's gateway and has no access to it or to the data it processes. The installation, configuration and operation of the gateway are the Customer's responsibility, in particular regarding the security of the server that hosts it, the TLS certificate, user accounts and two-step verification, the list of allowed servers, installing updates, backups of the data directory and retention of the audit log.
2.6 Intellectual property and trademarks
The Software is protected by copyright law. Under the license the Customer acquires only the right of use described in this clause; all other rights are reserved to the Seller. Any third-party components included in the Software remain subject to their respective licenses.
SQL Studio is an independent product, not affiliated with or endorsed by Microsoft. Microsoft, SQL Server and Azure are trademarks of Microsoft Corporation. Apple, Mac, iPhone, iPad and App Store are trademarks of Apple Inc.
3. Price and payment
3.1 License
The price of each license is €499.99, VAT included, payable once. The price shown on the purchase page when the order is placed applies.
3.2 Extra users
In addition to the users included in the license, the Customer can buy extra users at €9.99 per user per year, VAT included, in the license order form or later on the Manage license page. Extra users apply to the license they are associated with and add to the included users.
Extra users are supplied as a yearly subscription, paid in advance, which renews automatically every year on the activation date, charged to the same payment method, unless cancelled. At any time, on the Manage license page (Stripe customer portal), the Customer can:
- add extra users: the new users apply immediately and the Customer immediately pays the amount proportional to the rest of the current year;
- reduce them: the reduction applies immediately and the unused proportional amount is credited against the next payments of the subscription;
- cancel the subscription: the extra users remain active until the end of the year already paid and the subscription does not renew; amounts already paid are not refunded, except as required by law.
The Seller may change the price of extra users for future renewals by notifying the Customer by email at least 30 days before the renewal; a Customer who does not accept the new price can cancel the subscription before the renewal.
If a renewal payment fails, Stripe retries the charge for a few days; if the retries also fail, the subscription ends. When the subscription ends, through cancellation or non-payment, the license goes back to the included number of users: if more accounts are configured on the gateway, only the accounts created first, up to the number allowed, can sign in, and the Customer chooses which accounts to remove. The license and the gateway keep working.
3.3 Payment methods
Payment is made in advance through Stripe, by payment card or by the other methods Stripe makes available at the time of purchase. Card and other payment instrument details are entered directly on Stripe's pages: the Seller never receives or stores them.
To purchase, the Customer provides: the customer type (Consumer or Business Customer), country, first and last name, email address and phone number; Business Customers also provide the company name and the VAT number or tax number. EU VAT numbers are checked with the European Commission's VIES service. The billing address is collected on Stripe's payment page (Stripe Checkout). The Customer warrants that the data provided is true, complete and up to date.
The contract is concluded when Stripe confirms the payment. Stripe sends the Customer the receipt of every payment, including the renewals of extra users. The invoice is issued in accordance with Italian law; Italian Business Customers may enter in the order form their SDI recipient code or PEC (certified email) address for electronic invoicing.
4. Delivery
Immediately after the payment is confirmed, the Seller sends to the email address provided by the Customer:
- the license key, in the format
SQLS-XXXXX-XXXXX-XXXXX-XXXXX; - a personal download link, usable once and valid for 30 days.
After pressing the Download button, the Customer has 30 minutes to complete the download, including resuming it if it is interrupted. If the link has expired or has already been used, the Customer can request a new one from support (clause 8).
Extra users are activated immediately after the payment is confirmed: the gateway applies the new number of users without a restart, at the latest at the next license check (clause 5). The Seller confirms the activation by email.
Delivery is deemed made when the email containing the license key and the download link is sent. No physical goods are shipped. The Customer must provide a correct email address and keep the email received, as the key is needed again to reinstall or move the gateway.
5. License activation and verification
The Software includes a technical protection measure: it checks the license key online with the Seller's license server at startup and then every 6 hours. For this purpose, the server hosting the gateway must be able to make outbound HTTPS connections to sqlstudio.geolox.it; the Customer is responsible for allowing them (for example by configuring firewalls and proxies as described in the Guide).
If the license server cannot be reached, the gateway keeps working on its last valid answer for up to 14 days from the last successful check. After that period without a successful check, the gateway may stop working until the check succeeds again.
At each check the gateway sends to the license server: the license key, a random installation id, a machine id (a non-reversible cryptographic fingerprint of the id assigned by the operating system), the server name, the operating system and architecture, the processor model and count, the available memory, the gateway and runtime versions, the number of accounts configured on the gateway and the IP address the request comes from. No database contents, credentials, queries, or names or other data of the gateway users are sent. The answer states the number of users allowed, which the gateway enforces locally.
Each installation is bound to the machine it was activated on: the same license cannot be used on two machines at the same time, and an installation copied to another machine (for example by copying its data directory) is refused. If the server fails or is replaced, the Customer runs license deactivate on the old server or, if it is no longer available, asks support to reset the installation: from then on the old installation is no longer accepted and the license can be activated on the new machine.
An installation that does not contact the license server for 30 days automatically frees its seat. To move the license to another server, the Customer runs the license deactivate command on the old server and activates the key on the new one; if the old server is no longer available, the Customer can contact support.
6. Limitation of liability
In all cases, Consumers' mandatory rights and the Seller's liability for wilful misconduct or gross negligence and for personal injury are not affected.
Subject to the above, and to the maximum extent permitted by law, the Seller is not liable for indirect, incidental or consequential damages, or for loss of data, profits or opportunities, or for business interruption arising from the use of, or inability to use, the Software, from commands run through the gateway, from the way the gateway is installed, configured or operated, or from the unavailability of the network or of third-party services.
The Software lets users run commands that change or delete data and objects in databases. The Customer is responsible for the commands run by its users, the credentials used, and compliance with its organization's permissions and policies. The Seller recommends keeping up-to-date backups and testing changes in a test environment before applying them in production.
For Business Customers, the Seller's total liability for any claim arising out of the contract or relating to the Software is in any case limited to the amount actually paid by the Customer for the license to which the claim relates.
7. Warranties
Consumers. Consumers benefit from the legal guarantee of conformity for digital content and digital services under articles 135-octies et seq. of the Consumer Code. In case of a lack of conformity, the Consumer is entitled, under the conditions and within the time limits set by law, to have the Software brought into conformity, or to a proportionate price reduction or termination of the contract. To exercise the guarantee, the Consumer can contact support (clause 8). Nothing in these Terms limits or excludes this guarantee.
Exclusion of other warranties. Without prejudice to the Consumer's legal guarantee and to liability for wilful misconduct or gross negligence, the Software is provided "as is". To the maximum extent permitted by law, the Seller does not warrant that the Software is error-free, that it is compatible with every SQL Server, operating system or network configuration, that it will operate without interruption, or that it is fit for any particular purpose of the Customer. Before purchasing, the Customer can check the technical requirements in the Guide.
8. Updates and support
The purchase includes the version of the Software available on the order date. The Seller may release updates to the Software, which it makes available at its discretion. For Consumers, the updates necessary to keep the Software in conformity, including security updates, required by the Consumer Code are not affected.
Support is provided by email at support@geolox.it or through the support form. The Seller usually replies within two business days, with no guaranteed service levels and no guaranteed response or resolution times.
9. License deactivation
The Seller may deactivate a license key in the following cases:
- full refund of the price;
- chargeback or failed payment;
- use of the Software on more installations than licensed, circumvention of the user limit, or sharing of the key with third parties;
- any other breach of the license terms set out in clause 2;
- fraud, including fraudulent use of payment instruments;
- at the Customer's request, for example if the key has been lost or compromised: in this case the Seller issues a new key for the same number of installations and users.
Before deactivating a key for a breach (cases 3 and 4), the Seller contacts the Customer by email at the address given in the order. In case of fraud (case 5), deactivation may be immediate.
Once the key is deactivated, the gateway stops working: it does not start and, if running, stops at the next check (clause 5). For clarifications, or to dispute a deactivation, the Customer can contact support through the support form.
10. Right of withdrawal
As a rule, Consumers have the right to withdraw from a distance contract within 14 days without giving any reason (art. 52 of the Consumer Code). Under art. 59(1)(o) of the Consumer Code, this right does not apply to the supply of digital content not supplied on a tangible medium once performance has begun with the Consumer's prior express consent and acknowledgement that the right of withdrawal is thereby lost.
The Software is digital content supplied without a tangible medium. At checkout the Consumer expressly requests that supply begin immediately, before the end of the withdrawal period, and acknowledges losing the 14-day right of withdrawal once the download link has been delivered. Since delivery takes place immediately after payment (clause 4), once the purchase is completed the right of withdrawal can no longer be exercised. The contract confirmation sent by email records the consent and acknowledgement given by the Consumer.
Likewise, when buying extra users the Consumer expressly requests that they be activated immediately and acknowledges losing the right of withdrawal upon their activation, which takes place immediately after payment. Automatic renewals do not give rise to a new right of withdrawal; the subscription can always be cancelled as provided in clause 3.2.
Business Customers have no right of withdrawal.
For Consumers, the legal guarantee of conformity described in clause 7 is not affected.
